The Role

Due to continued growth, an excellent opportunity has arisen for a tax professional experienced in mergers & acquisitions and corporate tax to join our team in London.

The role will be positioned within a specialist sub team, a team currently providing advisory services to the Investment team and supporting functions. We are looking for an experienced individual with strong corporate tax and M&A experience, ideally within the Private Equity space.

The candidate will be responsible for risk mitigation through collaboration with the Investment, Investor Relations, Fund and Corporate teams to efficiently structure both new acquisitions and the existing portfolio, identify tax exposure and any potential solutions. This will be achieved through the provision of tax and financial knowledge, such as capital structures and cash extraction.

On transactions, the candidate will be responsible for liaising with the investment team and external advisors, review financial and tax due diligence, review financial models including cash flows / financial projections to support transactions and investigating optimisation and restructuring opportunities. You will be responsible for the smooth handover and onboarding of new investments from a tax, structuring and sometimes accounting perspective.

On the corporate business, working alongside the CFO, taking responsibility for the overall corporate strategy across the UK group and international offices, optimising the group position where possible. The candidate will work with tax advisors to manage and monitor ongoing tax compliance including corporate tax POA, deferred tax, group losses, transfer pricing and VAT. The candidate will be expected to optimise external advisor support in this field and structure balance sheet investments for the group.

The candidate would be expected to guide the Investment committee on complex tax and cash extraction issues.

To be considered for this position, you must have 4+ years of relevant experience (ideally within the Investment space), an excellent academic record, and hold either an ACA, CTA or equivalent. You will also have strong financial modelling, valuation and presentation skills, and excellent written and spoken communication skills.

Key Responsibilities
  • Financial due diligence of new target investments
  • Financial appraisal of target investments and support the wider Investment committee on tax, structuring and to a lessor extend, accounting perspective.
  • Working with advisors to tax structure investments and holding structures
  • Optimising investment structures for shareholder cash extraction
  • Active role in developing strategies to optimise returns from existing assets and investment opportunities
  • Review of funds flow for new acquisitions
  • Hand over the fully implemented capital structure in support of new acquisitions
  • Review and interrogation of financial models from an accounting, tax and cash extraction perspective.
  • Business partnering to the finance function and wider business and financial advisers as necessary to provide, for example, advice on implication of legislation change, specialist input into new vehicle set up, financings and refinancings, restructuring and investment exits.
  • Oversight of the overall corporate tax strategy
  • Monitor ongoing corporate tax compliance
  • Structure balance sheet investments for the group
  • Present to the wider finance function and business on technical topics

Key Competencies/Skills required
  • be able to work as part of a wider investment management team alongside other finance professionals and advisers
  • use initiative to proactively and independently manage the financial work steam contributing to the successful close of investments
  • ideally have experience of infrastructure and/or fund structures
  • ideally have experience in multi-jurisdiction structures and investments
  • have experience of managing a team
  • be comfortable liaising with key business partners and with external advisers
  • have desire, diligence and energy to drive quality output and outperformance
  • be well versed in Excel and have a working knowledge of financial models (macros and VBA preferable but not essential)
  • be an innovative thinker and not fear challenging financial problems.
  • have experience in financial reporting in foreign currencies

Requisite Qualifications

Degree level educated and hold either an ACA, CTA or equivalent.
