Job Purpose Statement

Where you'll fit in & what our team goals are...

Your role is to perform primarily the financial accounting and certain company secretarial functions for a portfolio of Investment Trust and Private Equity Funds. You may also perform the functions of the Company Secretary position for some trust clients.
The key purpose of your role is to prepare statutory accounts, board papers and to ensure that daily, monthly and quarterly net assets values are accurate. You should proactively work to ensure the successful delivery of our administration services to the clients. You are required to work in conjunction with the company secretaries and the investment managers with the common purpose of providing a high standard of service to the investment trust clients.

Role Responsibilities

How you'll spend your time...

• Prepare annual and interim accounts, incorporating all current accounting standards and ensuring compliance with all relevant regulatory and legislative issues.
• Review month end / Quarterly reconciliations and controls and calculate monthly / quarterly net asset values for submission to the AIC within reporting deadlines. Ensure monthly / quarterly net asset value schedules are circulated to fund managers, company secretaries and marketing.
• Prepare board papers, specifically schedules of portfolio information, transactions, liquidity and revenue forecasts. Review shareholder information section and collate all schedules prepared by the company secretary and the investment managers. Request information from other parties such as depositary, marketing and the broker as necessary. Co-ordinate the despatch of the board papers within 7 days of the board meeting.
• Review daily reconciliations / breaks where applicable to ensure that there are no issues / breaks that SSB need help with.
• Develop and maintain good working relationships with other service providers of the investment vehicles (e.g. auditors, lawyers, registrars and printers).
• Ensure client administration requirements are met in accordance with management and secretarial agreements.
• Understand and monitor client investment objectives, guidelines, relevant regulation and compliance issues.
• Liaise with tax advisers to ensure timely preparation of annual tax computations and perform a detailed review of computations prior to submission to the Inland Revenue.
• Prepare statutory returns, including VAT returns. Ensure fully up to date with all legislation on the completion of the statutory returns.
• Involvement / responsibility for engaging on other ongoing requirements such as the review of KIDs (re cost data), factsheets, AIFMD quarterly Reporting.
• Attendance at Audit Committees and Board meetings as requested.
• For private equity limited partnerships duties include the preparation of quarterly reports and annual audited accounts; liaising with KPMG regarding the preparation of the annual tax computation; review of the general and founder partner annual audited accounts; preparation of limited partner drawdown and distribution notices; and attendance and record keeping at advisory meetings.
• Keep up to date on legislative and regulatory issues affecting the trusts and allocated technical areas.
• For the Corporate Secretarial role, co-ordinate Board Meetings, including attendance of all relevant parties. Maintain a strong relationship with the Board, particularly the Chairman. Attend Board Meetings and prepare or review minutes (as appropriate). Ensure that Board business is conducted offshore.
