THE POSITION The Investment Product and Fund Strategies (IPFS) group is responsible for product management, spanning the full range of Wellington's product offerings, including equity, fixed income, multi-asset and alternatives strategies, globally. Within IPFS sits the Wellington Management Fund's Global fund businesses ("WMF Global"), and as of 31 March 2022, WMF Global comprised of just over 90 funds domiciled in Ireland (UCITS), Luxembourg (UCITS and AIFs), as well as in Cayman, Canada, Australia and Singapore with assets of circa US$60 billion. This role sits within the IPFS - WMF Global Product Development team, and the Fund Documentation Manager role presents an exciting opportunity to be part of a rapidly growing group, which develops and oversees a variety of commingled funds offered to a diverse set of Wellington's clients from over 50 countries worldwide.

JOB DESCRIPTION This is a new and senior role within the team, reporting to the head of WMF Product Development, with a primary focus on leading efforts around the creation, oversight, and maintenance of all legal offering document content for the WMF Global business. The Fund Documentation Manager will work very closely with the EMEA Legal team and Fund Product Managers/Analysts within the WMF Product Development team, as well as investment teams and subject matter experts across the business in creating 'best in class' legal and regulatory documentation for various fund activities covering the general 'product management agenda' for our multiple fund families (circa 10 fund structures across 6 domiciles). In addition, the individual may support members of the WMF Product Development team in the development of funds and related activity and other ad-hoc strategic or regulatory projects. The candidate will need good technical knowledge from both an investment and regulatory perspective (ideally both UCITS and non-UCITS/AIF), and have experience both drafting original and reviewing existing, offering document language. Specific responsibilities include:
  • A focus on the strategic oversight of all prospectus/offering document content owned by various subject matter experts across the WMF Global business. This includes the creation of new and enhancements to existing content, by reviewing and sharing best practices with the team. This role will help establish consistency and quality across the various offering documents and help embed a control and oversight process that includes partnership with legal and external counsel. The ultimate aim is to identify and maintain consistent and improved client friendly outcomes in our disclosure.
  • Take a leading role in defining the end-to-end process for the prospectus cycles for our various fund ranges and domiciles, including steps required for new funds and various discretionary and regulatory driven fund changes. Lead and evolve this process as we expand into new distribution markets e.g., Asia for cross border UCITS funds.
    • Supporting the team with the application for regulatory approval of prospectus changes and new funds by working as necessary with relevant stakeholders internally and externally.
  • Look to enhance the coordination and communication around this process for our impacted stakeholders, by helping direct the responses to the following:
    • Documentation updates (prospectuses, governance memos, impacted resolutions, KIID, regulatory forms, etc) - helping ensure all the right documents are generated, on time for the right Board and governance meetings.
    • Regulator comments - there can be multiple rounds, from multiple regulators associated with each submission, running concurrently. This effort also needs to convey a sense of urgency to impacted SME's as well as ensuring accuracy.
    • Client notifications - help draft content and incorporate necessary client communication notice periods into the master scheduling of 'moving parts'.
  • Help the team embed and further roll out (we are in phase 1 at present) a new third party 'prospectus tool' that will aid in the creation of content, better define workflows, allow for enhanced version control and ultimately the improved dissemination of accurate and timely offering documents.
    • This role will help coordinate the onboarding of additional umbrellas/fund domiciles into the tool and play a role together with the rest of the PD and legal teams, in the subsequent management/oversight of the tool, including any process enhancements.
    • There may be opportunities to expand the scope of the tool in time to integrate other document production, to further create efficiencies and scalability
Other projects/responsibilities
  • Act as a thought partner for internal stakeholders such as Marketing Compliance, Product Marketing and the IPFS investment teams to ensure that Fund marketing materials (presentations, factsheets and web content) are accurate and reflect both the spirit and the letter of the Prospectus
  • Provide advice and assistance on regulatory issues associated with the creation of new products or material product changes, with a particular focus on SFDR and Taxonomy expected as these regulations continue to evolve aiding our partners to articulate a credible, best in class offering and map out suitable policies and procedures.
  • Together with the WMF Product Development team, provide general fund expertise and act as subject matter expert to internal stakeholders for client-specific queries that cannot be fielded by client or fund service teams, such as specific information on fund documentation changes and shareholder communications.
  • Help maintain certain policies for the Management Committee and Board purposes
  • Lead or assist with ad hoc projects related to transformational changes to the WMF Global business
QUALIFICATIONS

We seek individuals who can demonstrate:
  • Senior individual within the Funds business of an investment management firm. Likely to have spent 5-10 years working with cross-border fund solutions, with hands on experience of legal offering documents and content. Direct experience working in a legal/product role is highly valued.
  • Knowledge of fund regulations and change management via the asset management industry directly or through practices of legal/consultancy industry aligned firms (encompassing UCITS and AIFs regulatory frameworks)
  • Exceptional attention to detail in drafting legal/offering documents, responsiveness and follow-through
  • Excellent written and verbal communication skills, including the ability to simplify the complex
  • Collaborative and positive mindset, and good inter-personal skills. Must be able to navigate cross-functional projects and establish healthy working relationships
  • Grace under pressure, an ethos for hard work, and master prioritiser (all about the 80:20)
  • Willingness to take initiative, demonstrate accountability and ownership but also having good judgement about when to seek the wider audience first
  • Strong analytical skills and familiarity with IT systems beneficial
