Liberum Capital Limited is a UK based independent investment bank with an "all cap" focus. Liberum is based in London and also has a wholly owned US subsidiary which provides access to the European markets for institutional investors based in North America. The principal activity of the Group is the provision of institutional and corporate stock broking services, focused on cash equities and investment banking.

The core activities are:
  • Investment Banking - provides corporate finance, corporate broking and advisory services to public and private companies and closed end investment funds.
  • Research, Sales and Execution - in large and mid-cap European equities, small cap UK equities and closed end investment funds listed on the London Stock Exchange or Euronext or traded on AIM. It also provides sales, trading and execution services in convertible bonds.
  • Market Making - in small and mid-cap UK equities and closed end investment funds.

Purpose of the Role:

Opportunity to join and develop career within Liberum's growing and highly successful M&A team, which is focused on a balanced portfolio of multi sector buy/sell side and special situation transactions across the public and private arena, working for corporate, private equity and entrepreneur clients, alongside the wider investment bank.

Reporting to:

Heads of M&A Investment Banking

Key Responsibilities:
  • Pitching for and execution of private and public company M&A mandates for corporates, private equity and entrepreneurs
  • Assisting the M&A Team and Investment Banking in the co-ordination of M&A origination and private equity and corporate coverage
  • Assisting in the development of private equity and corporate relationships
  • Managing key databases and third-party data sources
  • Responsibility for the maintenance of standardised models and transaction precedent documents

Skills, Attributes and Credentials:

Essential
  • Multiple private company M&A transactions including significant exposure to private equity including sell-sides
  • Strong technical knowledge around such areas as: financial modelling; merger combinations; returns analysis; working capital analysis; valuation; M&A private transaction processes; drafting of information memoranda; sale and purchase and shareholder agreements; completion mechanics
  • Knowledge of and experience in debt finance structuring and debt providers
  • Some existing relationships with private equity
  • 4 - 10 years' corporate finance experience
  • Demonstrable understanding and interest in the capital markets and its interaction with M&A on the Liberum platform
  • Native level written and spoken English
  • Minimum 2.1 degree


Desirable
  • ACA and/or MBA qualified
  • Some experience or knowledge of:
    • Takeover Code regulated M&A transactions
    • Class 1 acquisitions/disposals
  • Experience of transactions involving a non-UK client
  • Foreign language fluency
