POSITION OVERVIEW
As part of the continued growth of our private investment business, we are currently seeking to recruit a high calibre Legal Associate to join our global Private Investments Legal team in London. Working closely with other team members and cross-functional colleagues, the Legal Associate will focus primarily on supporting the formation and ongoing lifecycle of private equity funds. The Legal Associate will also contribute to broader projects and other areas of legal support..

RESPONSIBILITIES
Indicative responsibilities will include the following:

Fund Documentation
  • Coordination and assistance with documentation to facilitate fund launch and ongoing maintenance, including fund offering documents, limited partnership agreements and fund contracts (e.g., depositary agreements, admin agreements, IMAs, registrar and transfer agency agreements, global distribution agreements).
Fund Investor Onboardings
  • Providing legal support in relation to fund investor onboardings and negotiations;
  • Handling ad hoc queries in relation to RFPs/DDQs
Selling and Marketing, including Fund Distribution
  • Assisting with the review and negotiation of distribution, intermediary and platform agreements;
  • Creating and maintaining standard form distribution agreement checklists or templates;
  • Supporting the funds' country registration team and collaborating with compliance and business colleagues on the development and maintenance of global distribution policies and procedures.
Workflow/Process Management
  • Lead or contribute to the evolving design and execution of team processes, workflows and fund pipeline management tools
  • Synthesize and organize information, create team reference tools, and assist with enhancing and maintaining team recordkeeping practices
Governance/General
  • Ad hoc assistance with company secretarial matters, including fund and investment vehicle formation work
  • Assistance with strategic projects or other legal support matters as needed
QUALIFICATIONS
The successful candidate is likely to have:
  • 5+ years' experience supporting investment funds in an in-house legal team or private practice environment;
  • Demonstrable working knowledge of the asset management industry, ideally with experience of closed-ended products;
  • Excellent interpersonal skills with the ability to work both independently and collaboratively in a team-oriented, global and cross-functional environment
  • Highly-organized and detail-oriented with the ability to prioritize and manage competing deadlines in a fast-paced environment
  • An energetic approach, willing to take ownership, think creatively and initiate projects that lead to improved scalable workflows and knowledge management for a growing team and business line
  • A growth mindset and intellectual curiosity, open to developing new skills and assuming new responsibilities as needed
