We are currently recruiting for an Assistant Company Secretary to join our in-house legal team on a 16 month fixed term contract basis. Reporting into the Head of Legal and managing two Company Secretarial Assistants, you will be responsible for managing the boar support to the organisation as a FTSE 250 public company and associated company secretariat activities.

The role

The main areas of responsibility for the Assistant Company Secretary role will fall under the following areas; Corporate Governance, Board Support and Shareholder Dealings.
  • Managing the delivery of board support to all UK and Isle of Man entities in the Group.
  • Managing the maintenance of the Company books and statutory filings for all UK and Isel of Man entities in the Group.
  • Filing RNS announcements.
  • Diarising, preparing and filing all required statutory filings; preparing and circulating notices of AGM's, GM's board and committee meetings.
  • Diarising, preparing and arranging all board and committee meetings. Preparing and distributing invitations, meeting packs and action lists.
  • Preparing accurate minutes of all meetings in a timely manner.
  • Ensure all changes in directorships are notified to and registered with Companies House in accordance with statutory requirements.
  • Maintaing the Concert Party, PDMR and PSC registers for the Group.
  • Ensuring that adequate and relevant information is given to the holding company by all the subsidiary companies and that all escalation points are observed.
  • Managing the relationship with and oversee the performance of the Registrar.
  • Managing the Group share plan arrangements and liaising with external plan providers.

We operate a hybrid working model across the Group with 2 days a week minimum in the London office and a maximum of 3 days a week working from home. The office is open 5 days a week for those who wish to work from the office more so.

Requirements

To be successful in the role, you will be ICSA qualified and will have Company Secretarial experience in a listed company, preferably within the financial services sector. You will have had exposure to supervising or managing team member/s and will have an interest in and a passion for sharing knowledge and developing individuals. The ability to demonstrate knowledge of the 2018 Corporate Governance Code, Listing Rules, Disclosure and Transparency Rules and the Market Abuse Rules is essential.

Ideally you will have practical knowledge and an understanding and application of the UK legal and regulatory environment as it relates to the financial services industry. An understanding of the FCA handbook is also desirable but not essential.

Good communication skills, both written and verbal, are also essential and you must be able to work/think pro-actively and be able to demonstrate that you are a self-starter with the enthusiasm to train others.
